Terms & Conditions for Power Apps Custom Connector with MailUp Service
Introduction
These Terms & Conditions ("Terms") govern your use of the Power Apps custom connector ("Connector") with the MailUp service. By accessing or using the Connector, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Connector.
MailUp Account Requirement
MailUp Account: To use the Connector, you must have an active account with MailUp. The services provided by MailUp are subject to MailUp's own terms and conditions, which you must agree to separately with MailUp.
Subscription and Fees: You are responsible for subscribing to and paying for the MailUp services you consume. The fees and payment terms for MailUp services are determined by MailUp.
Custom Connector Service
Service Description: The Connector allows you to integrate your MailUp account with Power Apps to automate and enhance your email marketing and communication workflows.
Separate Billing: The use of the Connector is billed separately from MailUp services. You will be charged for the consumption of the Connector based on the usage and pricing outlined at the time of subscription.
Payment Terms: Payments for the Connector will be managed through our designated payment platform. All fees are non-refundable, except as required by law.
Use of the Connector
Compliance: You agree to use the Connector in compliance with all applicable laws and regulations, including but not limited to data protection and privacy laws.
Prohibited Activities: You may not use the Connector for any illegal or unauthorized purpose. You must not, in the use of the Connector, violate any laws in your jurisdiction.
Intellectual Property
Ownership: All intellectual property rights in and to the Connector and associated documentation are owned by us or our licensors. You are granted a non-exclusive, non-transferable license to use the Connector solely in accordance with these Terms.
Restrictions: You may not copy, modify, distribute, sell, or lease any part of the Connector, nor may you reverse engineer or attempt to extract the source code of the Connector, except as permitted by law.
Termination
Termination by You: You may terminate your use of the Connector at any time by ceasing to use the Connector and notifying us.
Termination by Us: We reserve the right to suspend or terminate your access to the Connector at any time, with or without cause, and with or without notice.
Limitation of Liability
No Warranty: The Connector is provided "as is" and "as available," without warranty of any kind, express or implied. We do not warrant that the Connector will be uninterrupted, error-free, or free of harmful components.
Limitation of Liability: To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use or inability to use the Connector; (b) any unauthorized access to or use of our servers and/or any personal information stored therein; (c) any interruption or cessation of transmission to or from the Connector; (d) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Connector by any third party; (e) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Connector; and/or (f) the defamatory, offensive, or illegal conduct of any third party.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which our company is established, without regard to its conflict of law principles.
Changes to the Terms
We reserve the right to modify these Terms at any time. If we make changes to these Terms, we will provide notice of such changes, such as by sending an email, providing a notice through the Connector, or updating the "Last Updated" date above. Your continued use of the Connector following the notification of changes will constitute your acceptance of those changes.
